What is an LLP?
A Limited Liability Partnership (LLP) is a hybrid business structure that combines the flexibility of a traditional partnership with the limited liability protection of a company. Each partner's liability is limited to their agreed contribution, meaning personal assets are protected from business debts.
Introduced under the Limited Liability Partnership Act, 2008, LLPs in India are registered with the Ministry of Corporate Affairs (MCA) and are governed by the LLP Agreement.

Benefits of LLP Registration
- Limited Liability: Partners are not personally liable for the LLP's debts or losses beyond their contribution.
- Separate Legal Entity: An LLP can own property, enter contracts, and sue or be sued in its own name.
- Lower Compliance Cost: Fewer mandatory filings compared to a private limited company, reducing annual costs.
- No Mandatory Audit: Audit is required only if turnover exceeds ₹40 lakh or contribution exceeds ₹25 lakh.
- Flexible Agreement: Partners can define profit-sharing, roles, and responsibilities through the LLP Agreement.
- Tax Efficiency: No dividend distribution tax. Partners are taxed individually on their income from the LLP.
- Perpetual Succession: The LLP continues to exist even if a partner exits or passes away.
Who Should Register an LLP?
LLP is best suited for:
- Chartered Accountants, Lawyers, Architects, and other licensed professionals
- Consulting and advisory firms
- Small and medium enterprises (SMEs) that do not need external equity funding
- Family businesses wanting limited liability without heavy corporate compliance
- Joint ventures between two businesses or individuals
Note: If you plan to raise venture capital or angel funding, a Private Limited Company is more appropriate, as LLPs cannot issue shares.

How to Register an LLP in India
The LLP registration process is conducted entirely online through the MCA portal. Here is the step-by-step process:
Step 1: Obtain Digital Signature Certificate (DSC)
All designated partners must obtain a Class 3 DSC. This is required to sign electronic forms filed with MCA. The DSC is issued by government-recognized certifying authorities.
Step 2: Apply for DPIN (Designated Partner Identification Number)
If the proposed partners do not already have a DIN/DPIN, they must apply for one using Form DIR-3 or through the FiLLiP form itself.
Step 3: Name Reservation via RUN-LLP
Apply for the LLP name using the RUN-LLP (Reserve Unique Name for LLP) service on the MCA portal. You can propose up to 2 names in order of preference. The name must comply with the LLP Name Guidelines and must not be identical or similar to existing companies or LLPs.
Step 4: File FiLLiP (Form for Incorporation of LLP)
FiLLiP is the consolidated incorporation form. It covers DPIN allotment, name reservation (if not done separately), registered office details, and partner details. All designated partners must sign this form using their DSC.
Step 5: Draft and File LLP Agreement
Within 30 days of incorporation, the LLP Agreement must be filed with the MCA using Form 3. This agreement defines the rights, duties, profit-sharing ratio, and obligations of each partner. Failure to file within 30 days attracts a penalty of ₹100 per day.
Step 6: Certificate of Incorporation
Once all documents are verified, the Registrar of Companies (RoC) issues the Certificate of Incorporation, along with the LLP Identification Number (LLPIN). The LLP is now a separate legal entity.
Step 7: Apply for PAN and TAN
After receiving the Certificate of Incorporation, apply for the LLP's PAN and TAN from the Income Tax Department. These are mandatory for tax filings and TDS compliance.
